1 CORPORATE MISSION STATEMENT

We believe that the Adventures you will experience will redefine your Expectations and that you will travel more often with the ones you love!

2 INTRODUCTION

2.1 Policies and Compensation Plan Incorporated into Agreement

These Policies and Procedures, in their present form and as amended at the sole discretion of FreedomTravel4You.com LLC (hereafter “FreedomTravel4You.com or the “Company”), are incorporated into, and form an integral part of, the FreedomTravel4You.com outside agent Agreement. Throughout these Policies, when the term “Agreement” is used, it collectively refers to the “company” Application and Agreement, these Policies and Procedures, the company Marketing and Compensation Plan, and the company Business Entity Registration Form (if applicable). These documents are incorporated by reference into the company (all in their current form and as amended by “the company”). It is the responsibility of each Agent to read, understand, adhere to, and ensure that he or she is aware of and operating under the most current version of these Policies and Procedures. When sponsoring or enrolling a new Agent, it is the responsibility of the sponsoring Agent to provide the most current version of these Policies and Procedures and the Marketing and Compensation Plan to the applicant prior to his or her execution of the Agent Agreement.

2.2 Purpose of Policies

FreedomTravel4You.com , is a direct sales company that markets travel access and training as well and travel accessories through Independent Agents. It is important to understand that your success and the success of your fellow Agent are dependent upon the integrity of the men and women who market our products and services. To clearly define the relationship that exists between Agents and “the company”, and to explicitly set a standard for acceptable business conduct, “the company”has established the Agreement.

FreedomTravel4You.com agents are required to comply with all of the Terms and Conditions set forth in the Agreement which maybe amended at its sole discretion from time to time, as well as all federal, state, provincial, territorial, and local laws governing their FreedomTravel4You.com business and their conduct. Because you may be unfamiliar with many of these standards of practice, it is very important that you read and abide by the Agreement. Please review the information in this manual carefully. It explains and governs the relationship between you, as an independent outside agent and the Company. If you have any questions regarding any policy or rule, do not hesitate to seek an answer from your Sponsor or from FreedomTravel4You.com

2.3 Changes to the Agreement

Because federal, state, provincial, territorial and local laws, as well as the business environment, periodically change, FreedomTravel4You.com reserves the right to amend the Agreement and its prices in its sole and absolute discretion. By signing the Outside Agent Agreement, agent agrees to abide by all amendments or modifications that FreedomTravel4You.com elects to make. Amendments shall be effective upon notice to all agents that the Agreement has been modified. Notification of amendments shall be published on the FreedomTravel4You.com websute. The Company shall provide or make available to all agents a complete copy of the amended provisions by one or more of the following methods: (1) posting on the Company’s official website; (2) electronic mail (e-mail); (3) fax-on-demand; (4) voice mail system broadcast; (5) inclusion in Company periodicals; (6) inclusion in bonus and commission checks; or (7) special mailings. The continuation of an Agent’s FreedomTravel4You.com business or a Agent’s acceptance of bonuses or commissions constitutes acceptance of any and all amendments.

2.4 Delays

FreedomTravel4You.com shall not be responsible for delays or failures in performance of its obligations when performance is made commercially impracticable due to circumstances beyond its reasonable control. This includes, without limitation, strikes, labor difficulties, riot, war, and fire, and death, curtailment of a party’s source of supply, or government decrees or orders.

2.5 Policies and Provisions Severable

If any provision of the Agreement, in its current form or as may be amended, is found to be invalid, or unenforceable for any reason, only the invalid portion(s) of the provision shall be severed and the remaining terms and provisions shall remain in full force and effect and shall be construed as if such invalid, or unenforceable provision never comprised a part of the Agreement.

2.6 Waiver

The Company never gives up its right to insist on compliance with the Agreement and with the applicable laws governing the conduct of a business. No failure of FreedomTravel4You.com to exercise any right or power under the Agreement or to insist upon strict compliance by an Agent with any obligation or provision of the Agreement, and no custom or practice of the parties at variance with the terms of the Agreement, shall constitute a waiver of the Company’s right to demand exact compliance with the Agreement. Waiver by “the company” can be affected only in writing by an authorized officer of the Company. Waiver by “the company” of any particular breach by a Agent shall not affect or impair the Company’s rights with respect to any subsequent breach, nor shall it affect in any way the rights or obligations of any other Agent. Nor shall any delay or omission by “the Company” exercise any right arising from a breach affect or impair its rights as to that or any subsequent breach.

The existence of any claim or cause of action of a Agent against FreedomTravel4You.com shall not constitute a defense to its enforcement of any term or provision of the Agreement.

3 BECOMING A AGENT

3.1 Requirements to Become a Agent

To become a Agent with FreedomTravel4You.com each applicant must::

a) Be of the age of majority in his or her state of residence;
b) Reside in a state, U.S. territory, or country in which FreedomTravel4You.com is officially doing business;

The Company reserves the right to reject any applications for a new Agent or applications for renewal.

3.2 New Agent Enrollment

FreedomTravel4You.com provides three convenient methods for new agents to enroll. An applicant may:

a) mail the Application and Agreement and Kit and Travel Agent Training Package payment to the FreedomTravel4You.com corporate offices;

b) enroll online at the official FreedomTravel4You.com website or at the personal agent website of his or her Sponsor;

c) submit the Application and Agreement by fax. (with a follow up of the Originals)

If the applicant enrolls by fax, he or she must fax both the front and back of the Application and Agreement to FreedomTravel4You.com at the fax number listed on the Application and Agreement. Payment by fax is to authorize the company to withdraw the funds from their account by faxing in the authorization agreement for automatic deposits / withdraws.

3.3 Agent Benefits

Once an Outside Agent Application and Agreement has been accepted by FreedomTravel4You.com the benefits of the Marketing and Compensation Plan and the agent’s benefits are available to the new agent. For a complete list of these benefits, please see the FreedomTravel4You.com Compensation Plan.

4 OPERATING AS AN AGENT

4.1 Adherence to the Company Marketing and Compensation Plan

Agents must adhere to the terms of the Company Marketing and Compensation Plan as set forth in official Company literature. Agents shall not offer the FreedomTravel4You.com opportunity through, or in combination with, any other system, program, or method of marketing other than that specifically set forth in official Company literature. Agents shall not require or encourage other current or prospective Preferred Customers or Agents to participate in FreedomTravel4You.com in any manner that varies from the program as set forth in official Company literature. Agents shall not require or encourage other current or prospective Preferred Customers, or Agents to execute any agreement or contract other than official Company Agreements and contracts in order to become a FreedomTravel4You.com Agent. Similarly, Agents shall not require or encourage other current or prospective Preferred Customers, or Agents to make any purchase from, or payment to, any individual or other entity to participate in the Company Marketing and Compensation Plan other than those purchases or payments identified as recommended or required in official Company literature.

4.2 Advertising

4.2.1 General

All Agents shall safeguard and promote the good reputation of the Company and its products and services. The marketing and promotion of the FreedomTravel4You.com opportunity, the Marketing and Compensation Plan, and products and services shall be consistent with the public interest, and must avoid all discourteous, deceptive, misleading, unethical or immoral conduct or practices.

To promote both the products and services, and the tremendous opportunity FreedomTravel4You.com offers, Agents should use the sales aids and support materials produced by the Company. The rationale behind this requirement is simple. The Company has carefully designed its products, product labels, services, Marketing and Compensation Plan, and promotional materials to ensure that each aspect of the Company is fair, truthful, substantiated, and complies with the vast and complex legal requirements of federal and state provincial laws. If FreedomTravel4You.com Agents were allowed to develop their own sales aids and promotional materials (which includes Internet advertising), notwithstanding their integrity and good intentions, the likelihood that they would unintentionally violate any number of statutes or regulations affecting a FreedomTravel4You.com business is almost certain. These violations, although they may be relatively few in numbers, would jeopardize the FreedomTravel4You.com opportunity for all agents. Accordingly Agents must submit all written sales aids, promotional materials, advertisements, and other literature (including proposed Internet advertising) to the Company for approval. Until the Agent receives specific written approval to the use of the material, from the Company, the request shall be deemed denied.

4.2.2 Agent Websites

If a Agent desires to utilize an Internet web page to promote his or her business, he or she may do so through the Company’s replicated website program only. This program permits Agents to advertise on the Internet and to choose from among a variety of home page designs that can be personalized with the Agent’s message and the Agent’s contact information. These websites seamlessly link directly to the official FreedomTravel4You.com website giving the Agent a professional and Company-approved presence on the Internet. No Agent may independently design a website that uses the names, logos, or product or service descriptions of FreedomTravel4You.com or otherwise promotes (directly or indirectly) Company’s products, services, or the Company’s opportunity. Nor may a Agent use “blind” ads on the Internet that make product, service, or income claims which are ultimately associated with the Company , the Company opportunity, or the Company Marketing and Compensation Plan. The use of any other Internet website or web page to in any way promote the sale of Company products or services, the Company opportunity, or the Marketing and Compensation Plan is a breach of the Agreement and may result in any of the disciplinary sanctions set forth in Section 9.1.

4.2.3 Domain Names and Email Addresses

Agents may not use or attempt to register any FreedomTravel4You.com trade name, trademark, service name, service mark, product name, the Company’s name, or any derivative thereof, for any Internet domain name. Nor may agents incorporate or attempt to incorporate any of the Company’s trade names, trademarks, service names, service marks, product names, the Company’s name, or any derivative thereof, into any electronic mail address.

4.2.4 Trademarks and Copyrights:

FreedomTravel4You.com will not allow the use of its trade names, trademarks, designs, or symbols by any person, including a Agent’s, without its prior, written permission. Agents may not produce for sale or distribution any recorded Company events and speeches without written permission from FreedomTravel4You.com nor can Agents reproduce for sale or for personal use any recording of Company-produced audio or video tape presentations.

The name of FreedomTravel4You.com and other names as may be adopted by The Company are proprietary trade names, trademarks and service marks of FreedomTravel4You.com. As such, these marks are of great value to The Company and are supplied to Agents for their use only in an expressly authorized manner. Use of FreedomTravel4You.com name on any item not produced by the Company is prohibited except as follows:

All agents may list themselves as an “Independent FreedomTravel4You.com Agents” in the white or yellow pages of the telephone directory under their own name. No Agent may place telephone directory display ads using the Company’s name or the Company’s logo(s). Agents may not answer the telephone by saying “FreedomTravel4You.com”, “FreedomTravel4You.com Incorporated”, or in any other manner that would lead the caller to believe that he or she has reached corporate offices of FreedomTravel4You.com.

4.2.5 Media and Media Inquiries:

Agents must not attempt to respond to media inquiries regarding the Company, its products or services, or their independent business. All inquiries by any type of media must be immediately referred to the Company Media Department. This policy is designed to assure that accurate and consistent information is provided to the public as well as a proper public image.

4.2.6 Spamming and Unsolicited Faxes

Except as provided in this section, Agents may not use or transmit unsolicited faxes, mass e-mail distribution, unsolicited e-mail, or “spamming” relative to the operation of their businesses. The terms “unsolicited faxes” and “unsolicited e-mail” mean the transmission via telephone facsimile or electronic mail, respectively, of any material or information advertising or promoting the Company, its products and services, its compensation plan or any other aspect of the company which is transmitted to any person, except that these terms do not include a fax or e-mail: (a) to any person with that person’s prior express invitation or permission; or (b) to any person with whom the Agent has an established business or personal relationship. The term “established business or personal relationship” means a prior or existing relationship formed by a voluntary two way communication between a Agent and a person, on the basis of: (a) an inquiry, application, purchase or transaction by the person regarding products or services offered by such Agent; or (b) a personal or familial relationship, which relationship has not been previously terminated by either party.

4.2.7 Bonus Buying Prohibited

Bonus buying is strictly and absolutely prohibited. “Bonus buying” includes:

(a) enrollment of individuals or entities without the knowledge of and/or execution of an Independent Agent Application and Agreement or Preferred Customer Agreement by such individuals or entities;

(b) fraudulent enrollment of an individual or entity as a Agent or Preferred Customer ;

(c) enrollment or attempted enrollment of non-existent individuals or entities as Agents or Preferred Customer s (“phantoms”);

(d) the use of a credit card by or on behalf of a Agent or Preferred Customer when the Agent or Preferred Customer is not the account holder of such credit card;

(e) Purchasing FreedomTravel4You.com products or services on behalf of another Agent or Preferred Customer, or under another Agent’s or Preferred Customer ’s I.D. number, to qualify for commissions or bonuses ; or

(f) any other mechanism or artifice to qualify for rank advancement, incentives, prizes, commissions, or bonuses that is not driven by bona fide product or service purchases made by end consumers.

4.3 Business Entities:

A corporation, partnership or trust (collectively referred to in this section as a “Business Entity”) may apply to be a FreedomTravel4You.com Agent by submitting its Certificate of Incorporation, Partnership Agreement or trust documents (these documents are collectively referred to as the “Entity Documents”) to the company, along with a properly completed Business Entity Registration Form. If a Agent enrolls online, the Entity Documents and Business Entity Registration Form must be submitted to FreedomTravel4You.com within 30 days of the online enrollment. (If not received within the 30-day period, the Agreement shall automatically terminate.) A FreedomTravel4You.com business may change its status under the same sponsor from an individual to a partnership, corporation or trust or from one type of entity to another. There is a $75.00 fee for each change requested, which must be included with the written request and the completed Application and Agreement. The Business Entity Registration Form must be signed by all of the shareholders, partners or trustees. Members of the entity are jointly and severally liable for any indebtedness or other obligation to FreedomTravel4You.com

4.4 Changes to a FreedomTravel4You.com Business:

4.4.1 General;

Each Agent must immediately notify the Company of all changes to the information contained on his or her Application and Agreement. Agents may modify their existing Agreement (i.e., change Social Security number to Federal I.D. number, or change the form of ownership from an individual proprietorship to a business entity owned by a agent) by submitting a written request, a properly executed Application and Agreement, and appropriate supporting documentation. Changes shall be processed only once per year. All changes must be submitted by November 30 to become effective on January 1 of the following year.

4.4.2 Change of Sponsor

Changes in sponsorship or co-sponsorship are not allowed.

4.4.3 Cancellation and Re-application

Bonuses are not paid on the re-application to the company. Original sponsorship remains in tact.

4.5 Unauthorized Claims and Actions:

4.5.1 Indemnification:

A Agent is fully responsible for all of his or her verbal and written statements made regarding FreedomTravel4You.com products, services, and the Marketing and Compensation Plan which are not expressly contained in official FreedomTravel4You.com materials. Agents agree to indemnify FreedomTravel4You.com and its directors, officers, employees, and agents, and hold them harmless from any and all liability including judgments, civil penalties, refunds, attorney fees, court costs, or lost business incurred by FreedomTravel4You.com as a result of the Agent’s unauthorized representations or actions. This provision shall survive the termination of the Agreement.

4.5.2 Product Claims:

No claims (which include personal testimonials) as they may potentially violate federal and state laws and regulations, including the Federal Trade Commission Act. . Please get company approval on any product claim prior to use.

4.5.3 Income Claims:

In their enthusiasm to enroll prospective Agents, some Agents are occasionally tempted to make income claims or earnings representations to demonstrate the power the FreedomTravel4You.com Gain Sharing Program. This is counterproductive because new Agents may become disappointed very quickly if their results are not as extensive or as rapid as the results others have achieved. At, FreedomTravel4You.com we firmly believe that the Company’s income potential is great enough to be highly attractive, without reporting the earnings of others.
Because FreedomTravel4You.com agents do not have the data necessary to comply with the legal requirements for making income claims, a Agent, when presenting or discussing a FreedomTravel4You.com opportunity or Marketing and Compensation Plan to a prospective Agent, may not make income projections, income claims, or disclose his or her FreedomTravel4You.com income (including the showing of checks, copies of checks, bank statements, or tax records). Hypothetical income examples that are used to explain the operation of the Marketing and Compensation Plan, and which are based solely on mathematical projections, may be made to prospective Agents, so long as the Agent who uses such hypothetical examples makes clear to the prospective Agent(s) that such earnings are hypothetical and the Agent provides the prospect with a copy of the most current income disclosure chart prepared by the Company. Until such time as the Company publishes an official income disclosure statement, Agents may not use hypothetical income examples in the promotion of their FreedomTravel4You.com businesses.

4.6 Commercial Outlets and Other Sales Forums

4.6.1 Commercial Outlets

FreedomTravel4You.com strongly encourages the retailing and selling of its products and services through person to person contact and via the Internet. In an effort to re enforce this method of marketing and to help provide a standard of fairness for its Agent base, Agents may not display or sell FreedomTravel4You.com products, services, or literature in any retail or service establishment unless expressly approved in writing by the Company.

4.6.2 Trade Shows, Expositions and Other Sales Forums

Agents may display and/or sell FreedomTravel4You.com products and services at trade shows and professional expositions. Before submitting a deposit to the event promoter, Agents must contact the Company Services Department in writing for conditional approval, as the Company’s policy is to authorize only one FreedomTravel4You.com business per event. Final approval will be granted to the first Agent who submits an official advertisement of the event, a copy of the contract signed by both the Agent and the event official, and a receipt indicating that a deposit for the booth has been paid. Approval is given only for the event specified. Any requests to participate in future events must again be submitted to the Services Department. FreedomTravel4You.com further reserves the right to refuse authorization to participate at any function which it does not deem a suitable forum for the promotion of its products, services, or the FreedomTravel4You.com opportunity.

4.7 Conflicts of Interest

4.7.1 Non-solicitation

Agents are prohibited from Unauthorized Recruiting, which includes the following:

a) During the term of this agreement, any actual or attempted recruitment or enrollment of the Company’s Preferred Customer’s or Agents for other network marketing business ventures, either directly or through a third party. This includes, but is not limited to, presenting or assisting in the presentation of other network marketing business ventures to any FreedomTravel4You.com Preferred Customer or Agent, or implicitly or explicitly encouraging any FreedomTravel4You.com Preferred Customer or Agent to join other business ventures. Because there is an extreme likelihood that conflicts will arise if a agent operates two network marketing programs, it is the Agent’s responsibility to first determine whether a prospect is a FreedomTravel4You.com Preferred Customer or Agent before recruiting or enrolling the prospect for another network business venture.

b) For a period of six months following the cancellation of a Agent’s Agreement, the former Agent may not recruit any FreedomTravel4You.com Agent or Preferred Customer for another network marketing program or competing travel agency.

c) Producing or offering any literature, tapes or promotional material of any nature for another network marketing business which is used by the Agent or any third person to recruit FreedomTravel4You.com Preferred Customer’s or Agents for that business venture;

d) Selling, offering to sell, or promoting any competing non- FreedomTravel4You.com products or services to FreedomTravel4You.com Preferred Customers or Agents. Any product or services in the same generic category as a FreedomTravel4You.com product or service is deemed to be competing; e.g., any travel agent training system or program or online travel booking service is in the same generic category as FreedomTravel4You.com products and services, and is therefore a competing product or service.

d) Offering FreedomTravel4You.com l products or services, or promoting the FreedomTravel4You.com Marketing and Compensation Plan, in conjunction with any non- FreedomTravel4You.com products, services, business plan, opportunity, or incentive; or

e) Offering any non FreedomTravel4You.com products, services, business plan, opportunity, or incentive at any FreedomTravel4You.com meeting, seminar, launch, convention, or other FreedomTravel4You.com function, or immediately following such event.

4.7.2 Activity Reports and Contact Lists.

Activity Reports, contact lists, vendor information and other such information which are available for Agent access and viewing at the Agent website shall be collectively referred to as Agent Tools. Agent access to their Agent Tools is password protected. All Agent Tools and the information contained therein are confidential and constitute proprietary information and business trade secrets belonging to FreedomTravel4You.com. Agent Tools are provided to Agent in strictest confidence and are made available to Agents for the sole purpose of assisting Agents in working with respective clients in the development of their FreedomTravel4You business. Agents should use their Agent Tools to assist, motivate, and train other Agents. The Agent and FreedomTravel4You.com agree that, but for this agreement of confidentiality and nondisclosure, FreedomTravel4You.com would not provide these Agent Tools to the Agent. A Agent shall not, on his or her own behalf, or on behalf of any other person, partnership, association, corporation or other entity:

a) Directly or indirectly disclose any information contained in any Agent Tools to any individual, partnership, association, corporation, or other entity;

b) Directly or indirectly disclose, to any individual, partnership, association, corporation, or other entity, the password or other access code to his or her Agent Tools;
Use the information contained in any Agent Tools to compete with FreedomTravel4You.com or for any purpose other than promoting or supporting his or her FreedomTravel4You.com business; or
d) Recruit or solicit any Agent or Preferred Customer listed in any Agent Tools or in any manner attempt to influence or induce any Agent or Preferred Customer, to alter their business relationship with FreedomTravel4You.com.

Upon demand by the Company, any current or former Agent will return the original and all copies of Agent Tools to the Company.

4.7.3 Targeting Other Direct Sellers

FreedomTravel4You.com does not condone Agents specifically or consciously targeting the sales force of another direct sales company to sell FreedomTravel4You.com products or to become agents for FreedomTravel4You.com, nor does FreedomTravel4You.com condone Agents solicitation or enticement of members of the sales force of another direct sales company to violate the terms of their contract with such other company. Should Agents engage in such activity, they bear the risk of being sued by the other direct sales company. If any lawsuit, arbitration or mediation is brought against a Agents alleging that he or she engaged in inappropriate recruiting activity of its sales force or customers, FreedomTravel4You.com will not pay any of Agent’s defense costs or legal fees, nor will FreedomTravel4You.com indemnify the Agent for any judgment, award, or settlement.

4.8 Errors or Questions

If a Agent has questions about or believes any errors have been made regarding commissions, bonuses, Activity Reports, or charges, the agent must notify FreedomTravel4You.com in writing within 60 days of the date of the purported error or incident in question. FreedomTravel4You.com will not be responsible for any errors, omissions or problems not reported to the Company within 60 days.

4.9 Fund-Raising Programs

Your FreedomTravel4You.com businesses may be operated for fundraising purposes. However, if you are using your FreedomTravel4You.com business in a fundraising program for any entity or individual, you must not represent or imply to anyone that any purchase they make from you will be for the benefit of any charitable purpose or program.

4.10 Governmental Approval or Endorsement

Neither federal nor state regulatory agencies, nor officials approve or endorse any business opportunity or any direct selling or network marketing companies or programs. Therefore, Agents shall not represent or imply that FreedomTravel4You.com or its Marketing and Compensation Plan or business opportunity have been “approved,” “endorsed” or otherwise sanctioned by any government agency.

4.11 Holding Applications or Orders

Agents must not manipulate enrollments of new Agents or Preferred Customer’s. All Applications and Agreements, Preferred Customer Agreements, and product orders must be sent to FreedomTravel4You.com within 72 hours from the time they are signed by a Agent, Preferred Customer, or placed by a Retail Customer respectively.

4.12 Identification

All Agentss are required to provide their Social Security Number, Social Insurance Number, Federal Employer Identification Number or appropriate government issued ID to FreedomTravel4You.com on the Application and Agreement. Upon enrollment, the Company will provide a unique Agent Identification Number to the agent by which he or she will be identified. This number will be used to place orders, and track commissions and bonuses.

4.13 Income Taxes

Each Agent is responsible for paying local, state, provincial, and federal taxes on any income generated as an Independent Business owner. If a FreedomTravel4You.com business is tax exempt, the Federal tax identification number must be provided to FreedomTravel4You.com. Every year, FreedomTravel4You.com will provide an IRS Form 1099 MISC (Non-employee Compensation) earnings statement to each U.S. resident who (1) had earnings of over $600 in the previous calendar year, or (2) made purchases during the previous calendar year in excess of $5,000.

4.14 Independent Contractor Status

Agents are independent contractors, and are not purchasers of a franchise or a business opportunity. The agreement between FreedomTravel4You.com and its Agents does not create an agency, employer/employee relationship, partnership, or joint venture between the Company and the agent. Agents shall not be treated as an employee for his or her services or for Federal or State tax purposes. All Agents are responsible for paying local, state, and federal taxes due from all compensation earned as a Agent of the Company. The Agent has no authority (expressed or implied), to bind the Company to any obligation. Each Agent shall establish his or her own goals, hours, and methods of sale, so long as he or she complies with the terms of the Agreement, these Policies and Procedures, and applicable laws.

4.15 Insurance

As an Agent you may wish to arrange insurance coverage for your business. Your homeowner’s insurance policy does not cover business-related injuries or the theft of or damage to business equipment. Contact your insurance agent to make certain that your business property is protected. This can often be accomplished with a simple “Business Pursuit” endorsement attached to your present home owner’s policy.

4.16 International Markets

Because of critical legal and tax considerations, FreedomTravel4You.com must limit the resale of FreedomTravel4You.com products and the presentation of the FreedomTravel4You.com business to prospective Age located within those U.S. States and Territories specified by the Company at its official website. Moreover, allowing a few Agents to conduct business in markets not yet opened by FreedomTravel4You.com would violate the concept of affording every Agent the equal opportunity to expand internationally.

Accordingly, Agents are authorized to sell FreedomTravel4You.com products and services, and enroll Preferred Customer’s and Agents only in the U.S. States and other international jurisdictions in which FreedomTravel4You.com is authorized to conduct business, as announced at the official Company website. No Agent may, in any unauthorized state or country: (a) conduct sales, enrollment or training meetings; (b) enroll or attempt to enroll potential Preferred Customers or Agents; or (c) conduct any other activity for the purpose of selling FreedomTravel4You.com products or services, establishing a marketing organization, or promoting the FreedomTravel4You.com opportunity.

4.17 Inventory Loading

Agents must never purchase more products than they can reasonably use or sell to Retail Customers in a month, and must not influence or attempt to influence any other Agents to purchase more products than they can reasonably use or sell to Retail Customers in a month.

4.18 Adherence to Laws and Ordinances

4.18.1 Local Ordinances

Many cities and counties have laws regulating certain home-based businesses. In most cases these ordinances are not applicable to Agents because of the nature of their business. However, Agents must obey those laws that do apply to them. If a city or county official tells a Agents that an ordinance applies to him or her, the Agent shall be polite and cooperative, and immediately send a copy of the ordinance to the Compliance Department of FreedomTravel4You.com. In most cases there are exceptions to the ordinance that may apply to FreedomTravel4You.com agents.

4.18.2 Compliance with Federal, State, Local Laws

Agents shall comply with all federal, state, and local laws and regulations in the conduct of their businesses.

4.19 Leads

When a prospective Agent or customer (“prospect”) contacts FreedomTravel4You.com directly, the company will determine, at its sole discretion, whether the prospect was first contacted by a FreedomTravel4You.com Agent. If the Company determines that the prospect was first contacted by a Agent, it will refer the prospect to that Agent. If, however, the Company determines that the prospect was not first contacted by a Agent, it will send the prospect some company information and refer him or her to the closest, highest ranked Agent in the immediate area. In order to receive such leads, a Agent must be active and have a valid e-mail address.

4.20 Minors

A person who is recognized as a minor in his/her state of residence may not be a FreedomTravel4You.com Agent. Agents shall not enroll or recruit minors into the FreedomTravel4You.com program.

4.21 Actions of Household Members or Affiliated Individuals

If any member of a Agent’s immediate household engages in any activity which, if performed by the Agent, would violate any provision of the Agreement, such activity will be deemed a violation by the Agent and FreedomTravel4You.com may take disciplinary action pursuant to the Statement of Policies against the Agent. Similarly, if any individual associated in any way with a corporation, partnership, trust or other entity (collectively “affiliated individual”) violates the Agreement, such action(s) will be deemed a violation by the entity, and FreedomTravel4You.com may take disciplinary action against the entity.

4.22 Requests for Records

Any request from a Agent for copies of invoices, applications, activity reports, or other records will require a fee of $1.00 per page per copy. This fee covers the expense of mailing and time required to research files and make copies of the records.

4.23 Discontinuation of a Sponsor

If a sponsor resigns from FreedomTravel4You.com, the sponsorship points disappear, they are not re-assigned.

4.24 Sale, Transfer or Assignment of FreedomTravel4You.com Business

The FreedomTravel4You.com business opportunity and gain sharing program is based on the contribution and value ad of an individual agent and may not be resold or transferred to another individual.

4.25 Sponsoring

All active Agents in good standing have the right to sponsor and enroll others into FreedomTravel4You.com. Each prospective Preferred Customer and FreedomTravel4You.com has the ultimate right to choose his or her own Sponsor. If two Agents claim to be the Sponsor of the same new Agent or Preferred Customer, the Company shall regard the first application received by the Company as controlling.

4.26 Stacking

“Stacking” is strictly prohibited. The term “stacking” includes:

(a) the failure to transmit to FreedomTravel4You.com or the holding of an Application and Agreement in excess of two business days after its execution;

(b) the placement or manipulation of Independent Agent Applications and Agreements for the purpose of maximizing compensation pursuant to the FreedomTravel4You.com Marketing and Compensation Plan; or

(c) providing financial assistance to new Agents for the purpose of maximizing compensation pursuant to the FreedomTravel4You.com Marketing and Compensation Plan;

(d)violating the maximum number of Business Centers rule; and/or (e) enrolling fictitious individuals or entities into the FreedomTravel4You.com compensation plan.

4.27 Succession

Upon the death or incapacitation of a Agent, his or her business may not be passed to his or her heirs as they may or may not have any travel experience or knowledge commensurate with that of the Agent they would be succeeding.

4.28 Telemarketing

The Federal Trade Commission and the Federal Communications Commission each have laws that restrict telemarketing practices. Both federal agencies (as well as a number of states) have “do not call” regulations as part of their telemarketing laws. While you may not consider yourself a “telemarketer” in the traditional sense of the word, these regulations broadly define the term “telemarketer” and “telemarketing” so that your inadvertent action of calling someone whose telephone number is listed on the federal “do not call” registry could cause you to violate the law. Moreover, these regulations must not be taken lightly, as they carry significant penalties (up to $11, 000.00 per violation).

Therefore, Agents must not engage in telemarketing relative to the operation of their FreedomTravel4You.com businesses. The term “telemarketing” means the placing of one or more telephone calls to an individual or entity to induce the purchase of a FreedomTravel4You.com product or service, or to recruit them for the FreedomTravel4You.com opportunity. “Cold calls” made to prospective customer s or Agents that promote either the FreedomTravel4You.com products or services or the FreedomTravel4You.com you opportunity constitute telemarketing and are prohibited. However, a telephone call(s) placed to a prospective customer or Agent (a “prospect”) is permissible under the following situations:

• If the Agent has an established business relationship with the prospect. An “established business relationship” is a relationship between a Agent and a prospect based on the prospect’s purchase, rental, or lease of goods or services from the Agent, or a financial transaction between the prospect and the Agent, within the eighteen (18) months immediately preceding the date of a telephone call to induce the prospect’s purchase of a product or service.

• The prospect’s personal inquiry or application regarding a product or service offered by the Agent, within the three (3) months immediately preceding the date of such a call.

• If the Agent receives written and signed permission from the prospect authorizing the Agent to call. The authorization must specify the telephone number(s) which the Agent is authorized to call.

• You may call family members, personal friends, and acquaintances. An “acquaintance” is someone with whom you have at least a recent first-hand relationship within the preceding three months (i.e., you have recently personally met him or her). Bear in mind, however, that if you make a habit of “card collecting” with everyone you meet and subsequently calling them, the FTC may consider this a form of telemarketing that is not subject to this exemption. Thus, if you engage in calling “acquaintances,” you must make such calls on an occasional basis only and not make this a routine practice.

In addition, Agents shall not use automatic telephone dialing systems relative to the operation of their FreedomTravel4You.com businesses. The term “automatic telephone dialing system” means equipment which has the capacity to: (a) store or produce telephone numbers to be called, using a random or sequential number generator; and (b) to dial such numbers.

5 RESPONSIBILITIES OF AGENTS

5.1 Change of Information

To ensure timely delivery of support materials and commission deposits, it is critically important that the FreedomTravel4You.com corporate files are current. Agents planning to move or change banking account information should update their personal information via the Agent website or send their new information to the FreedomTravel4You.com Corporate Offices.

5.2 Continuing Development Obligations

5.2.1 Ongoing Training

Any Agent who sponsors another Agent into FreedomTravel4You.com must perform a bona fide assistance and training function to ensure that his or her sponsors are operating his or her FreedomTravel4You.com business. Agents must have ongoing contact and communication with the Agents they sponsor. Examples of such contact and communication may include, but are not limited to: newsletters, written correspondence, personal meetings, telephone contact, voice mail, electronic mail, and the accompaniment Agents FreedomTravel4You.com meetings, training sessions, and other functions. Sponsoring Agents are also responsible to motivate and train new Agents about FreedomTravel4You.com product knowledge, effective sales techniques, the FreedomTravel4You.com Marketing and Compensation Plan, and compliance with Company Policies and Procedures. Communication with and the training of Agents must not, however, violate Section 4.2 (regarding the development of Agent-produced sales aids and promotional materials).

Agents must monitor the Agents they have sponsored to ensure that Agents do not make improper product or business claims, or engage in any illegal or inappropriate conduct. Upon request, every Agent should be able to provide documented evidence toFreedomTravel4You.com of his or her ongoing fulfillment of the responsibilities of a Sponsor.

5.2.2 Increased Training Responsibilities

As Agents progress through the various levels of leadership, they will become more experienced in sales techniques, product knowledge, and understanding of the FreedomTravel4You.com program. They will be called upon to share this knowledge with lesser experienced Agents within their organization.

5.2.3 Ongoing Sales Responsibilities

Regardless of their level of achievement, Agents have an ongoing obligation to continue to personally promote sales through the generation of new customers and through servicing their existing customers.

5.2.4 Non-disparagement

FreedomTravel4You.com wants to provide its independent Agents with the best products, compensation plan, and service in the industry. Accordingly, we value your constructive criticisms and comments. All such comments should be submitted in writing to the Company. Remember, to best serve you, we must hear from you! While FreedomTravel4You.com welcomes constructive input, negative comments and remarks made in the field by Agents about the Company, its products and services, or compensation plan serve no purpose other than to sour the enthusiasm of other FreedomTravel4You.com Agents. For this reason, and to set the proper example for their recruits, Agents must not disparage, demean, or make negative remarks about FreedomTravel4You.com, other FreedomTravel4You.com agents, FreedomTravel4You.com products and services, the Marketing and Compensation plan, or the Company’s directors, officers, or employees.

5.2.5 Providing Documentation to Applicants

Agents must provide the most current version of the Policies and Procedures and the Compensation Plan to individuals whom they are sponsoring to become Agents before the applicant signs a Agreement. Additional copies of Policies and Procedures can be acquired from FreedomTravel4You.com.

5.2.6 Reporting Policy Violations

Agents observing a Policy violation by another Agent should submit a written report of the violation directly to the attention of the FreedomTravel4You.com Compliance Department. Details of the incidents such as dates, number of occurrences, persons involved, and any supporting documentation should be included in the report.

6 SALES REQUIREMENTS

6.1 Product Sales

The FreedomTravel4You.com Marketing and Compensation Plan is based on the sale of FreedomTravel4You.com products and services to customer’s and Agents. Agents must fulfill personal and retail sales requirements (as well as meet other responsibilities set forth in the Agreement) to be eligible for bonuses, commissions and advancement to higher levels of achievement as defined in the FreedomTravel4You.com Marketing and Compensation Plan.

6.2 No Territory Restrictions

There are no exclusive territories granted to anyone. No franchise fees are required.

6.3 Sales Receipts

All Agents must provide their off-line Retail Customers with two copies of an official FreedomTravel4You.com sales receipt at the time of the sale. These receipts set forth the Customer Satisfaction Guarantee for FreedomTravel4You.com products, as well as any consumer protection rights afforded by federal or state law. Agents must maintain all retail sales receipts for a period of two years and furnish them to FreedomTravel4You.com at the Company’s request. Records documenting the online purchases of Agents customers will be maintained by FreedomTravel4You.com.

Agents must ensure that the following information is contained on each sales receipt: (1) The date of the transaction; (2) The date (not earlier than the third business day following the date of the transaction) by which the buyer may give notice of cancellation; and (3) Name and address of the selling Agent;

Remember that Retail Customers must receive two copies of the sales receipt. In addition, Agents must orally inform the buyer of his or her cancellation rights.

7 BONUSES AND COMMISSIONS

7.1 Bonus and Commission Qualifications

A Agent must be active and in compliance with the Agreement to qualify for bonuses and commissions. So long as a Agent complies with the terms of the Agreement, FreedomTravel4You.com shall pay commissions to such Agent in accordance with the Marketing and Compensation plan. The minimum amount for which FreedomTravel4You.com will issue payment is outlined in the compensation plan.

7.2 Adjustment to Bonuses and Commissions

Agents receive bonuses and commissions based on the actual sales of products and services to end consumers. When the purchaser of a FreedomTravel4You.com product or service returns the product for a refund or cancels the service and is issued a refund, the bonuses and commissions attributable to the refunded product or service will be deducted, in the month in which the refund is given, and continuing every pay period thereafter until the commission is recovered, from the Agents who received bonuses and commissions on the sales of the refunded product or service.

7.3 Volume Transfer

Agents may not transfer volume from one Agent to another.

7.4 Online and Telephonic Activity Reports

All information provided by FreedomTravel4You.com online including but not limited to Personal and Group Volume (or any part thereof), and sponsoring activity is believed to be accurate and reliable. Nevertheless, due to various factors including the inherent possibility of human and mechanical error; the accuracy, completeness, and timeliness of orders; denial of credit card and electronic check payments; returned products; credit card and electronic check charge-backs; the information is not guaranteed by FreedomTravel4You.com or any persons creating or transmitting the information.

ALL PERSONAL AND GROUP VOLUME INFORMATION IS PROVIDED “AS IS” WITHOUT WARRANTIES, EXPRESS OR IMPLIED, OR REPRESENTATIONS OF ANY KIND WHATSOEVER. IN PARTICULAR BUT WITHOUT LIMITATION THERE SHALL BE NO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE, OR NON INFRINGEMENT.

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, FreedomTravel4You.com AND/OR OTHER PERSONS CREATING OR TRANSMITTING THE INFORMATION WILL IN NO EVENT BE LIABLE TO ANY AGENT OR ANYONE ELSE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES THAT ARISE OUT OF THE USE OF OR ACCESS TO PERSONAL AND GROUP VOLUME INFORMATION (INCLUDING BUT NOT LIMITED TO LOST PROFITS, BONUSES, OR COMMISSIONS, LOSS OF OPPORTUNITY, AND DAMAGES THAT MAY RESULT FROM INACCURACY, INCOMPLETENESS, INCONVENIENCE, DELAY, OR LOSS OF THE USE OF THE INFORMATION), EVEN IF FreedomTravel4You OR OTHER PERSONS CREATING OR TRANSMITTING THE INFORMATION SHALL HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, FreedomTravel4You OR OTHER PERSONS CREATING OR TRANSMITTING THE INFORMATION SHALL HAVE NO RESPONSIBILITY OR LIABILITY TO YOU OR ANYONE ELSE UNDER ANY TORT, CONTRACT, NEGLIGENCE, STRICT LIABILITY, PRODUCTS LIABILITY OR OTHER THEORY WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT OR TERMS AND CONDITIONS RELATED THERETO.

Access to and use of the FreedomTravel4You.com online and telephone reporting services and your reliance upon such information is at your own risk. All such information is provided to you “as is”. If you are dissatisfied with the accuracy or quality of the information, your sole and exclusive remedy is to discontinue use of and access to the FreedomTravel4You.com online and or telephone reporting services and your reliance upon the information.

8 DISPUTE RESOLUTION AND DISCIPLINARY PROCEEDINGS

8.1 Disciplinary Sanctions

Violation of the Agreement, these Policies and Procedures, or any illegal, fraudulent, deceptive or unethical business conduct, or violation of any common law duty, including but not limited to any applicable duty of loyalty, by a Agent, or any act or omission that, in the sole discretion of the Company, may damage it’s reputation or goodwill, may result, at the Company’s discretion, in one or more of the following corrective measures:
a) Issuance of a written warning or admonition;
b) Requiring the Agent to take immediate corrective measures;
c) Imposition of a fine, which may be withheld from bonus and commission checks;
d) Loss of rights to one or more bonus and commission checks;
e) FreedomTravel4You.com may withhold from a Agent all or part of the Agents’s bonuses and commissions during the period that FreedomTravel4You.com is investigating any conduct allegedly violative of the Agreement. If a Agent’s business is canceled for disciplinary reasons, the Agent will not be entitled to recover any commissions withheld during the investigation period;
f) Suspension of the individual’s Agent Agreement for one or more pay periods;
g) Involuntary termination of the offender’s Agent Agreement;
h) Any other measure expressly allowed within any provision of the Agreement or which FreedomTravel4You.com deems practicable to implement and appropriate to equitably resolve injuries caused partially or exclusively by the Agent’s policy violation or contractual breach;
i) In situations deemed appropriate by FreedomTravel4You.com, the Company may institute legal proceedings for monetary and/or equitable relief.

8.2 Grievances and Complaints

When a Agent has a grievance or complaint with another Agent regarding any practice or conduct in relationship to their respective FreedomTravel4You.com, the complaining Agent should first report the problem to his or her Sponsor who should review the matter and try to resolve it with the other party’s sponsor. If the matter cannot be resolved, it must be reported in writing to the Services Department at the Company. The Agent Services Department will review the facts and attempt to resolve it.

8.3 Arbitration

Any controversy or claim arising out of or relating to the Agreement, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Agents waive all rights to trial by jury or to any court. All arbitration proceedings shall be held in the City of St. George, Utah, unless the laws of the state in which a Agent resides expressly require the application of its laws, in which case the arbitration shall be held in the capital of that state. All parties shall be entitled to all discovery rights pursuant to the Federal Rules of Civil Procedure. There shall be one arbitrator, an attorney at law, who shall have expertise in business law transactions with a strong preference being an attorney knowledgeable in the direct selling industry, selected from the panel which the American Arbitration Panel provides. Each party to the arbitration shall be responsible for its own costs and expenses of arbitration, including legal and filing fees. The decision of the arbitrator shall be final and binding on the parties and may, if necessary, be reduced to a judgment in any court of competent jurisdiction. This agreement to arbitration shall survive any termination or expiration of the Agreement.

Nothing in these Policies and Procedures shall prevent FreedomTravel4You.com from applying to and obtaining from any court having jurisdiction a writ of attachment, a temporary injunction, preliminary injunction, permanent injunction or other relief available to safeguard and protect the company.
